### 1. Your agreement with KlubAmp

KlubAmp is a Danish sole proprietorship (Enkeltmandsvirksomhed), proprietor Edward James de Renzy-Martin, CVR 33005679, VAT DK33005679, Skovkrogen 15, 2920 Charlottenlund, Denmark. Contact admin@klubamp.com. Website https://klubamp.com.

The club identified in your order is our customer. The person accepting the order confirms that they are authorised to contract for the club and that its identity, country, billing information and business-status declarations are accurate. Organisational purchasing does not by itself determine the club's VAT status. These terms, the accepted order and the existing KlubAmp Data Processing Agreement version 1.7 dated 19 October 2026 (DPA), provided with your order, and the limited portal schedule in section 11 form the agreement. Mandatory rights that cannot lawfully be excluded continue to apply.

### 2. The service and your administrator

KlubAmp helps authorised club contacts submit material through WhatsApp, review AI-assisted drafts and approve publication to selected connected social channels. The supported connections are Facebook, Instagram, TikTok, X and LinkedIn; availability of a connection does not mean publishing is enabled on that channel. The order and portal show the service actually available to your club.

Each club has one designated Club Administrator. The same person may administer several clubs using one account and MFA, but each club has separate settings, coaches, connections and billing. Selecting a club does not grant access to another club. KlubAmp Super Admin controls administrator replacement. Keep your password and authenticator private and promptly report lost access or an unauthorised appointment.

Coaches and moderators use authorised WhatsApp identities; they do not receive portal accounts. Your Club Administrator need not supply a personal WhatsApp number. Each operationally active club must have a verified WhatsApp moderator, who may be an authorised coach or another nominated person. One WhatsApp number may belong to only one club. Changing the selected portal club never changes that number's assignment.

### 3. Your content and connected accounts

Your club retains its rights in content. You grant KlubAmp and its service providers the limited rights needed to process that content, generate drafts and publish approved material on the club's behalf. You are responsible for the authority to submit material, rights in photographs/music/logos, appropriate notices and lawful permissions for images and information about people, including children.

AI output can be inaccurate. An authorised person must check drafts for accuracy, suitability and rights before approving them. Editable club prompts do not override moderation, privacy, authorisation or publishing safeguards. Prompt changes affect future processing, not drafts already generated or work in progress.

Select and authorise the correct social account or Page in the provider's consent screen. Review the identity shown after connection and notify KlubAmp immediately of an incorrect connection. Social networks and the underlying connection provider control their authorisation and availability. Reauthorisation may be needed. We do not promise uninterrupted third-party access, particular reach or a guaranteed publishing result. Connecting a social media account does not itself publish content. Publication occurs only after the required authorisation and approval process.

### 4. Prices, tax and subscriptions

Initial commercial availability is Denmark, genuine UK business customers, and clubs elsewhere in the EU with a verified VAT number and matching registered identity. The standard subscription is monthly per club: Denmark DKK 399, Sweden SEK 599, United Kingdom GBP 40, other supported EU countries EUR 50. US commercial sales are deferred; USD 55 is a prepared future price and cannot currently be purchased. These advertised amounts include any VAT/sales tax KlubAmp must collect. Stripe displays the applicable tax and total before you commit to payment. Approved reverse-charge treatment is identified on the invoice; your club remains responsible for tax it must account for itself. Unsupported countries are not offered a price automatically.

Danish subscriptions include 25% Danish VAT regardless of the club’s own VAT registration. UK customers must declare business/economic activity and business use; we also require corroborating evidence. A UK VAT number is optional. We retain the declaration, declarant, club identity, billing address, timestamp and relevant website or VAT-validation evidence. Unclear UK cases, UK non-business purchases, EU customers without sufficient validated VAT identity and unsupported countries cannot proceed to payment. No routine supporting-document upload is required. A review hold does not create a subscription or a charge.

Stripe securely collects payment details. KlubAmp does not collect or store full card numbers or security codes. By completing the subscription order, you authorise the recurring charges and timing shown at Checkout. Each club has its own subscription; an administrator's other clubs are not included. No extra usage charge or changed price is introduced without prior disclosure and any required agreement.

The subscription includes 60 individual successful social media publications per club in each monthly subscription period, across all platforms. This allowance resets at the beginning of each monthly subscription period; it does not mean 60 WhatsApp submissions. Publishing one WhatsApp submission to five platforms counts as five publications; to three platforms counts as three; to one platform counts as one. A carousel of several photographs published to one platform counts as one publication. For example, 12 submissions published to five platforms each, 20 to three each, or 60 to one each use 60 publications.

Rejected drafts, failed publications and technical retries do not count as additional publications. Each successful publication is counted once; retries or duplicate copies of that same publication are not counted again.

KlubAmp aims to accommodate occasional usage above the included allowance without automatically blocking publication or charging additional fees. If a club consistently exceeds the allowance, we will contact the club to agree an appropriate individual arrangement.

There is no automatic publication block or additional charge after 60 individual platform publications. This is an included allowance, not unlimited posting. Any different arrangement requires agreement; no separate numerical coach limit is introduced by these terms. We will give advance notice of a price or material service change and an opportunity to cancel before a changed recurring price applies. A promotional price already granted remains governed by its original terms.

### 5. Standard trial and promotion codes

An eligible standard first subscription includes fourteen days free, with the exact trial end and first charge shown by Stripe. You must enter and successfully verify a card before any trial publishing entitlement is granted. Cancel before the trial ends to avoid the first monthly charge. Otherwise the monthly subscription begins automatically on the date shown.

A valid discount code entered before subscription removes the free trial. The first discounted payment must succeed before publishing is authorised. Checkout shows the discounted amount, duration and subsequent standard monthly amount. Stripe controls activation, eligibility and redemption limits. An invalid or inapplicable code grants no discount and does not consume an otherwise available standard trial. A code cannot be added after a trial has been granted. A referral reference is for reporting and does not itself grant any discount.

### 6. Publishing eligibility and payment failure

Publishing starts only after the required provisioning, moderator confirmation, social destination verification and payment or verified-card trial entitlement are complete. Unpaid, past-due, expired, paused, suspended or effectively cancelled service cannot publish. A scheduled period-end cancellation remains subject to valid entitlement until its effective end.

If payment fails, publishing is suspended until Stripe confirms successful payment and the other requirements remain satisfied. Coaches and their WhatsApp registrations are not removed merely because payment fails. Draft generation is separate from publishing eligibility; retained drafts and pending material are not permission to publish. Recheck retained material before later approval. We may restrict unsafe, unlawful or unauthorised activity, with notice where appropriate and practicable.

### 7. Cancellation and refunds

You can cancel a club's renewal through its Stripe-hosted subscription portal, reached from the club portal. The confirmation shows the effective end date. The normal policy is cancellation at the end of the current paid or trial period, with no later renewal charge after that date. During the remaining period, access remains subject to valid payment/trial entitlement and the other service safeguards. Contact admin@klubamp.com if you cannot access cancellation.

Cancelling only a future renewal is a billing instruction to prevent the next renewal and continue the agreed service until the confirmed end date; it is not an instruction to disconnect accounts or delete configuration immediately. An instruction to terminate, restrict processing or delete data earlier is separate and takes priority for the affected processing under the DPA. Section 11 preserves the DPA's deadlines for actual offboarding notices.

Contact admin@klubamp.com for a refund request. KlubAmp reviews the circumstances and issues any full or partial refund through Stripe to the original payment method, subject to applicable law. A partial goodwill refund does not normally end subscription access. A completed full refund for the current paid period removes that period's publishing entitlement unless another valid entitlement exists. A refund for an earlier period does not by itself end a valid current period. A pending or failed refund is not treated as completed.

**A refund and cancellation are separate actions.** If a refund is agreed as part of ending service, KlubAmp will also arrange the agreed cancellation and confirm its effective date so renewal does not continue unintentionally. A refund alone does not cancel future renewal. Stripe retains the associated invoice, credit-note, refund and tax records as applicable. Club Administrators cannot issue refunds themselves.

### 8. Complimentary clubs

A complimentary grant is separate from public trials and promotion codes. A permanent Complimentary Pilot Plan has no expiry, payment-card requirement, Stripe subscription or automatic conversion. It does not enable publishing that is otherwise disabled. Only KlubAmp Super Admin can grant or remove it. Removing complimentary status never creates a charge: a paid transition requires a separate agreement and the club's own subscription consent. Existing pilot arrangements remain unchanged unless separately agreed.

### 9. Data protection and ending service

The Privacy Policy explains our own administrative processing. The existing DPA, with the limited portal schedule, governs club-controlled personal data processed through the service. Do not submit unnecessary sensitive information. Notify us promptly of suspected unauthorised access or a personal-data incident.

Following termination, we will return or delete ordinary club personal data from our active systems within 30 days, subject to applicable legal obligations and documented holds. The DPA’s stricter seven-day offboarding requirements for disconnection and club/coach configuration continue to apply. Restricted backups and provider residual copies follow the periods and safeguards described in the Privacy Policy and existing DPA. They must not be used to resume ordinary processing after deletion. Ending a KlubAmp subscription does not automatically remove posts already published to social networks or cancel the club's separate agreements with those networks.

### 10. Responsibility, changes and disputes

We will provide the service with reasonable skill and care. We do not exclude or limit liability where doing so would be unlawful, including liability for fraud, deliberate misconduct or gross negligence to the extent required by law. Subject to those exceptions, our aggregate contractual liability for the affected club is limited to the greater of DKK 5,000 and the subscription fees paid for that club in the twelve months before the event giving rise to the claim. This limit does not restrict any non-waivable rights under the DPA or applicable data-protection law. We exclude indirect or consequential losses to the extent permitted by law. These terms do not replace an existing pilot agreement retrospectively.

We will notify the Club Administrator of material changes. Changes will not retrospectively remove a granted discount or introduce a charge for a complimentary club. Danish law governs the agreement, with disputes in the competent Danish courts, preserving mandatory jurisdiction and other non-waivable rights. English is the controlling language of these terms and the order. The portal supports Danish, English, French, Spanish, German and Swedish; a translation does not remove mandatory legal rights. Contact admin@klubamp.com first so we can try to resolve a concern.

### 11. Limited portal processing schedule

This schedule supplements the instructions and supplier information in Appendices A, B, C and F of the existing DPA for the management portal. It does not replace the DPA or reduce its core protections. The existing WhatsApp, AI, media, moderation and publishing arrangements continue as documented there.

The club instructs KlubAmp to provide secure club administration, including its designated administrator’s access, coach names and authorised numbers, prompts, settings, branding, social connection metadata and necessary billing references. Coaches remain WhatsApp-only. Club administrators have MFA and access only to their assigned clubs; platform-wide supplier administration remains restricted to KlubAmp’s authorised personnel.

For a new club’s order, the initial authorised portal suppliers also include Render for the application and SQLite data on a persistent disk in Frankfurt; Supabase for account authentication and mandatory MFA in Frankfurt; Microsoft 365 for encrypted off-site administration backups (current OneDrive storage Denmark, committed geography EU/EFTA) and ordinary service correspondence; and Brevo for verification, recovery and onboarding emails. They receive only the information needed for those functions. The operative contracting entity and further processors are those in the relevant provider agreement and maintained supplier schedule. These hosting choices do not promise exclusively European processing by all suppliers or support teams. Existing supplier DPAs and lawful onward-transfer safeguards apply. No WhatsApp conversations or media are imported into the portal backup merely by club migration.

Stripe securely handles subscriptions and payment credentials. Its account, payment and legal-compliance processing has the controller/processor roles specified in its agreement. KlubAmp stores necessary customer/subscription/invoice references and tax evidence, not full payment credentials. Cloudflare continues to host the website and enquiry data; it is not the portal database. Billing, account security and statutory records handled by KlubAmp as controller remain distinguished from club-controlled content.

Portal processing, encrypted backups, relevant access controls and manual erasure are covered by the Privacy Policy. Restricted portal backup archives rotate over approximately eight weeks; restored data must have current revocations and deletion instructions reapplied before use. Original WhatsApp/media supplier retention is unchanged. Routine audit retention cannot override the DPA’s shorter offboarding instructions for ordinary club data.

For new customers these suppliers and instructions are part of the initial order. For an existing customer already bound by a DPA, its notice, objection and location-change provisions remain intact, including the existing 30-day prior-notice procedure where applicable. This schedule does not retrospectively deem that notice to have been sent or create authority to change existing club arrangements.

The original DPA C.4.11 requires disconnection within seven days of notice and normally coach/club configuration deletion within the same period. A billing-only instruction not to renew does not itself require immediate offboarding: the customer expressly requests continued service until the confirmed end date. At that end date, KlubAmp records and confirms the separate offboarding notice under the customer's scheduled instruction. An actual offboarding, earlier termination, restriction or deletion notice received before then is acted on under the DPA from receipt; its deadline is not postponed or restarted by the billing end date. If an instruction is unclear, KlubAmp promptly seeks clarification without treating that as permission to delay an applicable deadline. Any short written export/configuration extension must satisfy C.4.11 and never extend its disconnection deadline or suspend automatic message/media retention.

Before new-club operational provisioning, the authorised Club Administrator electronically signs in the existing MFA-protected club-registration step, using an initially unticked affirmative acknowledgement. The order records their name, account/email, authority to act for the identified club, club address, UTC signature time and the exact DPA, Terms and section 11 schedule versions and fingerprints. Payment is authorised separately before Stripe Checkout; later subscription acceptance does not postpone the original agreement's effective date.

Subject to the proprietor's express approval of this standing execution method, KlubAmp countersigns the same electronic order as the club signs, before operational provisioning. The record identifies Edward James de Renzy-Martin as KlubAmp's proprietor, his authorisation reference/date, the explicit countersignature statement and UTC countersignature time. Both parties adopt the attached unchanged KlubAmp DPA v1.7 dated 19 October 2026 as binding through this electronic order, despite the source heading "proposed update" and blank signature fields. The completed order supplies the parties, signatures and effective date for Clause 14.1; it does not backdate or rewrite the original. This is an ordinary electronic signature process, not a qualified-signature or qualified-timestamp service.

The customer can download and retain the completed agreement from the existing subscription record: a readable execution record identifying both signatures, the acceptance data, the exact Terms including this schedule, the Privacy Policy and the unchanged original DPA. The signed acceptance record and its exact document versions are archived independently of changeable billing settings and linked to the audit trail by a content fingerprint. The portal cannot edit or overwrite an accepted record; a correction requires a new record with the original retained. Both parties retain access through KlubAmp’s existing controlled records and the customer download. Existing encrypted backups protect those records. The customer should retain the downloaded copy; if portal access ends, an authorised club representative can request it from admin@klubamp.com subject to lawful retention. These new-order arrangements do not replace any existing pilot's executed DPA or retrospectively satisfy its notice/objection requirements.
